Soul Sync CRM: Terms and Conditions of Use

The following Terms and Conditions of Use (“Terms”) are entered into by and between You and Soul Sync CRM LLC (“Company,” “we” or “us”).

These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, govern your use of the website https://soulsynccrm.com and any subdomains (“Website”), including the Soul Sync CRM Platform (the "Platform"), materials, resources, and services, whether as a guest or registered user.

1. ACCOUNT ACCESS & SECURITY

To access the Platform, you must be 18 years of age or older. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your "Tech Altar" (account credentials).

2. SUBSCRIPTION & BILLING (THE EXCHANGE)

  • Tiers: You agree to the financial responsibility of your chosen tier (The Spark, The Conduit, or The Sovereign).

  • Automatic Scaling: You acknowledge that if your contact list exceeds your current tier’s limit, your account will be automatically adjusted to the corresponding tier at the start of the next billing cycle.

  • Cancellations: You may cancel your subscription at any time via your dashboard. Cancellations will take effect at the end of the current billing cycle. We do not offer pro-rated refunds for partial months of service.

  • Non-Payment: If payment fails, we reserve the right to suspend access to the Platform after 7 days of non-payment.

2.1: Refund Policy (The "No Energy Back" Clause)

Due to the digital nature of our Platform and the immediate access granted to our proprietary infrastructure, Soul Sync CRM LLC operates a strict NO REFUNDS policy.

  • Final Sale: All payments for subscriptions (The Spark, The Conduit, and The Sovereign) are final and non-refundable. This applies to both monthly and annual exchanges.

  • The Responsibility of Flow: It is your responsibility to cancel your subscription before your next billing date if you no longer wish to use the Platform. You can do this at any time through your account dashboard.

  • Access After Cancellation: If you cancel, your access will remain active until the end of your current paid billing cycle. No partial refunds or "pro-rated" credits will be issued for unused time within a billing cycle.

  • Abuse of Service: We reserve the right to terminate accounts that violate our "Lawful & Ethical Use" policy. In the event of such termination, no refunds will be granted.

3. DATA OWNERSHIP & SOVEREIGNTY

  • Your Data: You retain 100% ownership of the data, lead lists, and content you upload to the Platform. Soul Sync CRM LLC does not claim any intellectual property rights over your "Submissions" or client databases.

  • Our Access: We will only access your account for technical support at your request or for essential system maintenance.

  • Data Export: Upon cancellation, it is your responsibility to export your data. We will maintain your data for 30 days following cancellation, after which it may be permanently deleted.

4. LAWFUL & ETHICAL USE

You agree to use the Platform for lawful purposes only. You are strictly prohibited from using Soul Sync CRM for:

  • Spamming: Sending unsolicited emails in violation of the CAN-SPAM Act.

  • Malicious Content: Hosting or transmitting "Malicious Code" (viruses, bots, or predatory scripts).

  • Infringement: Storing content that violates the intellectual property rights of others.

5. INTELLECTUAL PROPERTY

Our Platform contains proprietary software, designs, and workflows owned by us. You are granted a revocable, non-exclusive license to use these tools for your internal business. You may not reverse engineer, "white-label" without a specific agreement, or resell the Platform's core code.

6. LIMITATION OF LIABILITY

YOU AGREE THAT SOUL SYNC CRM LLC IS NOT LIABLE FOR REVENUE LOSSES RESULTING FROM SYSTEM DOWNTIME, THIRD-PARTY INTEGRATION FAILURES, OR DATA LOSS CAUSED BY YOUR MISUSE OF THE TOOLS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL PURCHASE PRICE YOU HAVE PAID US IN THE PREVIOUS 12 MONTHS.

7. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of the State of Nevada. Any legal proceedings shall be filed exclusively in the courts of Clark County, Nevada.

9. THE AFFILIATE ALCHEMIST PROGRAM

By applying to and participating in the Affiliate Alchemist Program, you agree to the following code of integrity:

  • 9.1 Ethical Promotion: Alchemists shall not engage in "spamming" or unsolicited outreach. All promotions must be conducted with transparency and honor the recipient's digital space.

  • 9.2 FTC Disclosure: You are legally required to disclose that you receive a payment when someone purchases through your link. A simple "I am a proud partner of Soul Sync and may earn a referral fee if you sign up" is sufficient.

  • 9.3 Self-Referral Policy: You may not use your own affiliate link to purchase a Soul Sync subscription for yourself or your own business entities. This program is for the expansion of the community, not personal discounts.

  • 9.4 Trademark & Search Engine Rules: You may not bid on keywords containing "Soul Sync" or "Soul Sync CRM" in Google Ads or other search engines. You may not impersonate the official Soul Sync brand in a way that confuses customers.

  • 9.5 The Abundance Cycle (Payouts): To maintain the integrity of our container, Alchemists receive a one-time referral payment of $75 for each new member they bring into the ecosystem. This payment is earned once the referral has completed 30 days of continued, active use as a paying member. Once this 30-day "vesting period" is complete, your $75 reward will be released in the next monthly payout cycle (via Stripe).

  • 9.6 Termination: We reserve the right to remove any Alchemist from the program at any time if these terms are violated, with all unpaid rewards forfeited.
